CONTRACTS 

CONTRACT TO HIRE

We are looking for a Contracts Manager to oversee a wide variety of contracts and agreements necessary to our technology, partnerships and business relationships. Successful candidates will have the knowledge and experience of contract creation within the commercial space.

DUTIES AND RESPONSIBILITIES:

§ Draft, negotiate, revise and review a wide variety of contracts, including license, reseller, technology partnership, non-disclosure, IP, cloud-based services agreements, professional services agreements, statements of work, and vendor/supplier agreements.

§ Identify contractual issues that are problematic or inconsistent with Company processes or deliverables and provide follow through until the issues are resolved by the respective internal departments. Ensure that terms outlined in renewals and amendments are aligned to previous/master agreements.

§ Partner with Sales and Professional Services teams to craft SOW language that complies with master agreements, Company policies, customer requirements and ensure that the scope is clearly documented and aligned to deliverables.

§ Advise Finance, Operations, Professional Services and Sales teams regarding compliance with contractual rights and obligations.

§ Maintain contract database and compliance tracking database, and provide required scheduled and on demand reporting.

§ Coordinate and assist in developing policies, procedures and systems to support and facilitate efficient contract review and generation.

§ Periodically review and revise standard agreements to reflect changes in policies and applicable laws and regulations.

§ Advise and assist with domestic and international regulatory compliance, with an emphasis on privacy and security standards.

§ Work with internal departments to develop policies and procedures that meet legal and industry standard audit requirements.

Qualifications:

§ Four to seven years of corporate legal experience negotiating and drafting commercial contracts, preferably with a technology company with software or software-as-a-service offerings, and professional services.

§ Law Degree or a minimum of seven years of experience in negotiating and drafting commercial contracts.

§ Proven ability to negotiate large, complex software and services agreements with enterprise customers.

§ Knowledge of standard contract, commercial, intellectual property, and general business laws, terms, and clauses.

§ Good understanding of IT industry, software products and services.

§ Experience with data protection and privacy laws (US and non-US)

§ Experience with export control laws and regulations desired.

§ Experience with laws and commercial terms in non-US markets desired.

§ Experience contracting with public sector entities desired.

§ Highly motivated, detail-oriented, strong independent team contributor; able to work independently and cross-functionally.

§ Ability to understand and integrate details of business/operational environment into legal and policy requirements.

§ Ability to handle multiple tasks, take on new responsibilities and prioritize work in a dynamic, deadline-intensive environment.

§ Strong interpersonal, verbal and written communication skills.

§ Advanced proficiency in Microsoft Office Suite.

§ Experience with Salesforce desired.
